Late payments may incur interest at the Bank of England base rate plus 4% per annum and may result in suspension of work until the account is settled.

5. Intellectual Property

All original content, code, designs, and materials created by Enginuous remain our intellectual property until full payment is received. Upon full payment, we grant you a non-exclusive, perpetual licence to use the final deliverables for your business purposes.

You confirm that any materials you supply to us do not infringe third-party rights and that you have permission to use them. You indemnify us against any claims resulting from the use of such materials.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the project, unless disclosure is required by law. This obligation continues after completion of the services.

7. Limitation of Liability

To the fullest extent permitted by law, Enginuous shall not be liable for any indirect, incidental, or consequential damages (including loss of profits, business interruption, or data loss) arising from the use of our website or services.

Our total aggregate liability for any claim related to our services shall not exceed the total fees paid by you to Enginuous in the 12 months preceding the claim.

8. Warranties and Disclaimers

While we make reasonable efforts to ensure our website and services are accurate and up to date, we provide them “as is” and without warranties of any kind, express or implied. We do not guarantee uninterrupted or error-free service.

9. Termination

Either party may terminate an ongoing service agreement with written notice if the other party materially breaches the terms and fails to remedy the breach within 30 days. Upon termination, you must pay for all work completed up to the date of termination.

10. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
